Vietnam Studies Association of Australia

Constitution Adopted November 1994


The Vietnam Studies Association of Australia is a non-political, academic organisation affiliated to the Asian Studies Association of Australia for contact, communication and scholarly activities among scholars resident in Australia concerned with the study of Vietnam.

    Name
  1. The name of the Association shall be 'The Vietnam Studies Association of Australia' (hereafter referred to as the VSAA).

    Definition

  2. By 'Vietnam Studies' is meant the academic pursuit of knowledge and understanding of Vietnam.

    Objects

  3. The VSAA shall be non-political and autonomous and its objects shall be:
    1. to serve as a nationwide association of scholars interested in Vietnam representing all academic disciplines;
    2. to promote the advancement of scholarship on Vietnam in Australia;
    3. to facilitate communications between the various programs and individuals in Australia involved in Vietnam studies, through newsletters, circulars, etc;
    4. to affirm and uphold the professional interests of scholars interested in Vietnam;
    5. to represent the VSAA to relevant domestic and foreign agencies; and
    6. to represent Vietnam studies within the Asian Studies Association of Australia (ASAA).

    Membership

  4. Membership will be open to all persons and institutions in Australia who support the objectives of the VSAA.
  5. Members shall be required to pay an annual membership fee to theVSAA as determined by the management committee.
  6. Membership shall expire when
    1. a member resigns from the association by notifying the secretary in writing;
    2. the membership fee has not been paid within a deadline set by theTreasurer after the due date;

    Management Committee

  7. There shall be a Management Committee of the Vietnam Studies Association of Australia which shall administer the affairs of the VSAA between general business meetings and in conformity with decisions taken at those meetings.
  8. The Management Committee shall comprise the President of the VSAA, and three other members, including a vice-president, secretary/treasurer and general member.
  9. The Management Committee shall have power to co-opt members in case of resignation or other need.
  10. The President and Management Committee shall be elected by majority vote of the general business meeting of the VSAA, and shall serve for a period of two years.
  11. The President and at least two other Management Committee members should be fully or substantially engaged in teaching and/or research on Vietnam.
  12. Three members of the Management Committee shall constitute a quorum.

    General Business Meeting

  13. A General business meeting shall be held at least once every two years at a time and place determined by the Management Committee.
  14. A special General Business Meeting shall be held within three months if requested by twenty percent of financial members.
  15. The general business meetings shall be open but voting rights shall be restricted to financial members of the Vietnam Studies Association of Australia.
  16. All meetings shall be conducted, and the affairs of the VSAA managed, in a manner consistent with the objects of this Constitution and in conformity with the constitution and by-laws of the Asian Studies Association of Australia.
  17. A quorum of a General Business Meeting shall be fifteen financial members.

    Treasurer's Account

  18. The Secretary/Treasurer shall tender an annual account of the finances of the VSAA.

    Amendments

  19. This constitution may be amended at General Business Meetings or special General Business Meetings.
  20. Notification of amendments shall be made to all members not less than 30 days before the business meeting.
  21. An amendment shall require not less than twothirds of the votes of members present at a properly constituted business meeting.
  22. Dissolution shall be determined by a General Business Meeting or special General Business Meeting.
